European Corporate Law is the fully updated new edition providing the best-known practical overview of the law regarding companies, business activities, and capital markets in Europe, at the European Union (EU) and Member State levels. The characteristics of national company laws and political incentives remain, of course, a slackening combination to those who are convinced that acceleration of harmonization within the EU is the way to go. Seen from a distance, however, differences in national company laws are often related to details, the importance of which should not be overrated. The book incorporates analysis of recent developments, including the impact of global initiatives in such aspects of the corporate environment as regulation of financial institutions and non-financial reporting obligations with a view to sustainability and other social responsibility concerns. What’s in this book : The authors, all leading experts in European corporate law, describe current and emerging trends in such areas of corporate law practice as the following : rules on cross-border mergers; employee involvement in business activities; the initiatives by the Organisation for Economic Co-operation and Development and the EU to curb tax avoidance; Member States’ implementation of EU legislation; a company’s freedom to incorporate in a jurisdiction not its own; competition among the legal forms of different Member States; and safeguarding of employee involvement in cross-border transactions. With respect to national law, the laws of Belgium, France, Germany, the Netherlands, Poland, Spain, and the United Kingdom (UK) are taken into account; Italy is now included in this new edition. The selection of countries may be debatable, but the book aims at including examples of continental European legal systems as well as the common law system of the UK. How this will help you : This Third Edition will continue to be of great value to practitioners and academics who wish to acquire a better understanding of European corporate law, in its supranational dimension as well as in the similarities and differences among the various national legal systems. It is also a springboard for further research on topics dealt with or mentioned briefly in the book such as liability of directors, corporate governance, cross-border acquisitions, digitalization of company law, cross-border insolvency, and pre-insolvency restructuring.

This book explores the political and economic issues currently challenging EU member states. It analyses and explains how its own economic, and political, relationships have been critically influenced by fierce competition from its rivals in other major global economies, as well as by the systemic weaknesses in the economic and financial model it created. Chapters provide insight into both the underlying and more immediate economic and social challenges in the EU created by its post-2007 enlargement to 28 countries; the nature of the regulatory regime centralized in Brussels, and the host of issues and critiques this fosters; its ‘open borders’ policy and precious guiding principle, crystallized in the Schengen agreement; security weaknesses exacerbated by increasing volumes of migration; and the ongoing debt crises as the greatest existential challenge to the EU project. Featuring interviews with high profile key players from inside and outside Europe the book will examine new and underlying stresses - political and economic - to guide a greater understanding of the EU plan.

This book features eleven contributions on the fundamental principles of EEA law: legislative and judicial homogeneity, reciprocity, prosperity, priority, authority, loyalty, proportionality, equality, liability and sovereignty. Written by EFTA Court and national judges, high EFTA officials, private practitioners and scholars, it raises awareness of EEA law and provides insights for EEA and EU law practitioners and researchers. It focuses on the principles at the core of EEA law, some of which are common to EU and EEA law, while others have a specific place in EEA law and some ensure consistency between the EEA Agreement and the Treaty on the Functioning of the European Union. It is the only book to focus on the fundamental principles of EEA law.

The book covers some of the major issues concerning the problematic relationship between respect for democratic principles and the new European Economic Governance. Innovative approaches are highlighted throughout the book: new frameworks and arrangements are proposed on the basis of efficiency analyses, as well as their institutional and legal suitability. Though the perspective adopted is essentially a legal one, the economic and policy background are also given due consideration. The papers presented here offer a balanced mix of empirical (including comparative) and theoretical analysis; several also combine the two approaches, carrying out empirical analyses, then setting the results against theoretical options. Given the relative dearth of literature on democratic principles and the EMU, let alone a comprehensive enquiry, the book marks a valuable new contribution. .

In recent years, there has been a decentralisation of the enforcement of the EU competition law provisions, Articles 101 and 102 of the Treaty on the Functioning of the European Union (TFEU). Consequently, the national application of these provisions has become increasingly more common across the European Union. This national application poses various challenges for those concerned about the consistent application of EU competition law. This edited collection provides an in-depth analysis of the most important limitations of, and the challenges concerning, the applicability of Articles 101 and 102 TFEU at national level. Divided into five parts, the book starts out by examining how the consistent enforcement of Articles 101 and 102 TFEU operates as a general EU competition policy. It then discusses several recent landmark cases of the European Court of Justice on Articles 101 and 102 TFEU, before proceeding to analyse certain additional, unique jurisdictional challenges to the uniform application of the EU competition law provisions. Subsequently, it focuses on one of the most important instruments that can help to achieve the uniform application of EU competition law in cases handled by the national courts: preliminary rulings. Finally, it provides selective examples of how Articles 101 and 102 TFEU are effectively applied at national level, thereby providing additional input into how problematic the issue of consistent application of EU competition law is in practice.

Schütze proposes three models that assist in explaining the transitions in the structure of the EU internal market and analyses the changing structure of European law in relation to the European internal market. He starts by offering a historical analysis of the relationship between international law and market coordination up to the twentieth century but also provides an in-depth analysis of the constitutional principles. He then specifically addresses the decline of the international model in relation to the EU internal market and the corresponding rise of a federal market philosophy after Cassis de Dijon. The final chapter explores the exceptional constitutional principles that apply to fiscal matters. This is the second volume in Schutze's trilogy on the 'Changing Structure of European Law'. The book complements his previous volume which analysed the evolving structure of positive integration. A third volume will finally explore the formal constitutional aspects in the evolution of the European Union into a federal union of States.

This book explores the diverse challenges facing the EU and in particular examines the impediments to financial stability and sustainable growth and how these can be overcome. Among the topics explored are the extent to which monetary union has favored real convergence, competitive imbalances in the eurozone, and the impacts of austerity measures. Potential solutions are closely scrutinized, highlighting the need for linked fiscal, monetary, credit, and investment choices. Opportunities for public and private investment in infrastructure, human capital, the environment, and innovation are emphasized, as is the role of fiscal stimulus targeting aggregate demand and output. Detailed attention is paid to the importance of coordination of macroeconomic policies and the scope for reforms in EMU design and EU governance. In this context, the proposals in the recent Five Presidents’ Report are assessed, along with other ideas regarding progressive steps aimed at closer economic, financial, and political union in the medium to long term. Readers will also find separate scrutiny of the Greek crisis and the effectiveness of the third economic adjustment programme. The book comprises a selection of contributions presented at the XXVIII Villa Mondragone International Economic Seminar. .
